1. Agreement to Terms
By accessing or using the Ascension — The Brand Migration System platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Business Bishop Solutions – FZCO ("Company", "we", "us", "our").
2. Description of Services
Ascension is an online coaching, training, and community platform operated by Wayne Malcolm. Services include:
• Access to Brand Migration System training content and frameworks.
• Private community membership at various programme tiers (Gold, Platinum, Diamond).
• 1-on-1 coaching and strategy sessions.
• Brand Map preparation and delivery.
• Professional Consultation sessions (90-minute strategy calls).
• Group Q&A sessions, templates, and workbooks.
The Company reserves the right to modify, suspend, or discontinue any feature or programme at any time with reasonable notice.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter contracts in your jurisdiction to use the Platform. By creating an account, you represent and warrant that you meet these requirements. The Platform is intended for business owners, entrepreneurs, coaches, and professionals.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at hello@premiumvaluesolutions.biz if you suspect any unauthorised use of your account. We reserve the right to terminate accounts that violate these Terms or engage in fraudulent or abusive behaviour.
5. Membership Tiers and Access
Access to the Platform's content and features is determined by your membership tier. Tier upgrades are subject to application review and approval by the Company. We reserve the right to decline any application at our sole discretion without providing a reason. Approved members receive access to the content and features specified for their tier at the time of enrolment.
6. Payment Terms
All fees are stated in United States Dollars (USD) unless otherwise specified. By submitting payment, you authorise us to charge the amount stated via our payment processor (Stripe, Inc.).
• Deposits: Programme deposits are required to secure your place and are non-refundable except as required by applicable law.
• Balance payments: Remaining balances for Gold and Platinum programmes are payable by bank wire transfer. Wire details are provided after deposit confirmation.
• Platinum fee: The Platinum programme fee is confirmed after your initial consultation and reflects the complexity of your engagement. The final fee may vary from the indicative "From $20,000" amount shown on the pricing page.
• Consultation fee: The $2,000 Professional Consultation fee is strictly non-refundable and governed by the Consultation Terms & Conditions.
• Failed payments: We reserve the right to suspend access if payment fails and is not remedied within 7 days of notification.
7. Intellectual Property
All content on the Platform — including training materials, frameworks, methodologies, Brand Maps, video content, templates, workbooks, and written guidance — is the exclusive intellectual property of Business Bishop Solutions – FZCO and Wayne Malcolm, protected by applicable copyright and intellectual property laws.
You are granted a personal, non-exclusive, non-transferable licence to access and use Platform content for your own business purposes only. You may not reproduce, redistribute, resell, sublicense, or publicly display any Platform content without prior written consent from the Company.
8. Acceptable Use
You agree not to:
• Share your account credentials or programme access with any third party.
• Reproduce, copy, or resell any Platform content or methodology.
• Use the Platform for any unlawful, fraudulent, or harmful purpose.
• Harass, abuse, or harm other community members.
• Attempt to reverse-engineer or disrupt the Platform's technical infrastructure.
• Submit false or misleading information in any application or questionnaire.
Violation of these conditions may result in immediate termination of your access without refund.
9. Coaching and Advisory Disclaimer
All coaching, strategy sessions, and Brand Map outputs are advisory in nature. They are based on information you provide and the professional judgement of Wayne Malcolm. Nothing provided through the Platform constitutes legal, financial, investment, accounting, or psychological advice. Results vary depending on your individual circumstances, effort, and market conditions. The Company makes no guarantee of any specific outcome, revenue increase, or business result.
10. Limitation of Liability
To the fullest extent permitted by applicable law, the Company and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including loss of revenue, profits, data, or business opportunities.
The Company's total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to the Company in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. We reserve the right to carry out maintenance or updates that may temporarily affect availability.
12. Termination
We reserve the right to suspend or terminate your access to the Platform at any time for breach of these Terms, fraud, abusive conduct, or at our discretion with 30 days' written notice for other reasons. Upon termination, your right to access Platform content ceases. Provisions that by their nature should survive termination (including intellectual property, payment obligations, and limitation of liability) shall remain in effect.
13. Governing Law and Disputes
These Terms are governed by the laws of Western Australia, Australia. Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Western Australia. If you are a consumer in a jurisdiction with mandatory consumer protection laws, those laws shall apply in addition to these Terms.
14. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after that date constitutes your acceptance of the updated Terms.
