Terms and Conditions of Use

1. Acceptance of Terms

By accessing, downloading, registering for, or using the Brand Migration App ("the App"), you agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you must discontinue use of the App immediately.

The App is owned and operated by Wayne Malcolm, trading as The Business Bishop, and/or his affiliated companies ("the Company").

2. Membership and Access

Access to the App is granted solely to registered members whose accounts are in good standing. Membership access is personal, non-transferable, and may not be shared with any other individual, organisation, or entity.

The Company reserves the right to refuse, suspend, or terminate access at its sole discretion where these Terms have been breached.

3. Payment Obligations

Membership fees must be paid in accordance with the payment schedule agreed upon at enrolment. If a payment becomes overdue, the member shall have a seven (7) day grace period to rectify the outstanding balance.

Failure to bring the account into good standing within seven (7) days shall constitute a material breach of this agreement. Upon such breach:

• Access to the App may be suspended immediately.
• Access to all courses, resources, communities, recordings, and member benefits may be suspended.
• No refunds shall be issued.
• Reinstatement of access shall be entirely at the discretion of the Company and may require settlement of all outstanding balances.

The Company reserves the right to pursue recovery of unpaid fees where appropriate.

4. Intellectual Property

All content contained within the App is protected by copyright and intellectual property laws. This includes, but is not limited to: videos, audio recordings, books and eBooks, workbooks, templates, frameworks, models, methodologies, graphics, presentations, downloads, written content, coaching materials, Brand Migration™ processes, and proprietary training systems.

All intellectual property remains the exclusive property of Wayne Malcolm, The Business Bishop, and/or affiliated companies. No content may be copied, reproduced, distributed, shared, published, uploaded, recorded, resold, licensed, reverse engineered, repackaged, or used to train AI systems without prior written consent. Unauthorised use may result in immediate termination and legal action.

5. Confidentiality

Members may gain access to proprietary strategies, business methodologies, coaching discussions, community conversations, and confidential information. Members agree not to disclose, distribute, or share confidential information obtained through the App without prior written permission. This obligation survives termination of membership.

6. Community Standards

Members agree to conduct themselves professionally and respectfully at all times. The following behaviour is strictly prohibited: harassment, bullying, threatening behaviour, hate speech, discrimination, offensive language, abusive conduct, personal attacks, defamation, trolling, disruptive behaviour, unsolicited selling or spamming, sharing misleading information, and encouraging members to leave for competing programmes.

The Company reserves the right to remove any content or suspend any member whose conduct is deemed detrimental to the community. No warning is required before suspension.

7. Member Accounts

Members are responsible for maintaining the confidentiality of their login credentials. Members must not share usernames or passwords, permit others to access their account, or allow multiple users to access a single membership. Any account sharing may result in immediate suspension or termination without refund.

8. Recording and Distribution

Members may not record, copy, screenshot, download, livestream, redistribute, or otherwise reproduce live sessions, coaching calls, community discussions, or training materials without written permission. Official recordings supplied through the App are for personal member use only.

9. No Guarantees

The App provides educational, coaching, mentoring, and informational content. While every effort is made to provide valuable guidance, no guarantee is made regarding revenue, profitability, business growth, investment returns, client acquisition, or personal results. Results depend upon numerous factors beyond the Company's control. Members accept full responsibility for all business, financial, legal, and personal decisions.

10. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from use of the App or reliance upon its content. Use of the App is entirely at the member's own risk.

11. Suspension and Termination

The Company may suspend or terminate membership immediately where a member fails to maintain payments, shares content unlawfully, breaches confidentiality, shares login credentials, violates community standards, damages the reputation of the Company, engages in unlawful activity, or uses the App in a manner inconsistent with its intended purpose. Termination may occur without warning and without refund.

12. Updates to Terms

The Company reserves the right to modify these Terms and Conditions at any time. Continued use of the App following any amendment constitutes acceptance of the revised Terms.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws applicable to the operating jurisdiction of the Company. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the appropriate courts within that jurisdiction.
